Who these terms apply to
These terms govern any project booked or package purchased through spirit2design, Gluckstraße 64, 22081 Hamburg, Germany, whether by a business client or a private consumer.
The scope of a project
Every service and package on this site is described with a fixed scope: what's included, what's delivered, the number of revision rounds, and the price. That description, confirmed in writing after the free scoping call (or, for a package bought directly through the cart, the package's own page at the time of purchase), forms the agreed scope of the project. Work outside that scope — a fourth revision round where two are included, an additional page, an additional application — is quoted and agreed separately before it begins.
How a contract is formed
For an enquiry made via the contact form: a contract is formed when we send you a written proposal and you accept it in writing (including by email). For a package bought via the cart and checkout: a contract is formed when your order is placed and confirmed, and — where the "Pay 25% deposit now" or "Pay in full" option is used — payment (or, for "Request an invoice," acceptance of the invoice) is received.
Price and payment
All prices shown are net, excluding statutory German VAT, currently 19%, which is added at checkout. Where a valid EU VAT ID registered outside Germany is provided, the reverse-charge mechanism applies and VAT is shown at 0%. You may pay a 25% deposit with the balance due on delivery of the final files, pay the full amount at the outset, or request an invoice. Monthly packages (the content design retainer) are billed monthly in advance; the first month is billed when the order is placed.
Revisions
Each package states its included number of revision rounds. Revisions beyond that number are quoted and agreed before any additional work starts.
Delivery and usage rights
Final files and usage rights transfer to you on receipt of final payment (or, for a deposit-based project, on receipt of the balance). Until final payment is received, all design work remains the property of spirit2design.
Client cooperation
Timely delivery depends on you providing the material and feedback a project needs — content, brand assets, approvals — within a reasonable time. Delays on your side may extend the project timeline accordingly.

Liability
We are liable for intent and gross negligence without limitation. For ordinary negligence, we are liable only for the breach of a material contractual obligation ("Kardinalpflicht") and limited to the foreseeable, contract-typical damage. This limitation does not apply to injury to life, body or health.
Governing law and jurisdiction
These terms are governed by German law. For contracts with businesses (B2B), the place of jurisdiction is Hamburg. For contracts with consumers, statutory venue rules apply and this clause does not restrict any mandatory consumer protection you're entitled to under the law of your place of residence.
